GRC Pocket Auditor - Terms of Use

These Terms of Use ("Terms") govern your use of the GRC Pocket Auditor mobile app (the "App"), the website at https://nodecypher.com (the "Site"), and the remediation documents and related materials we provide (together, the "Service"), operated by NodeCypher Inc. ("NodeCypher", "we", "us", "our"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

GRC Pocket Auditor is a self-assessment tool that helps you evaluate your organisation's readiness against compliance frameworks (currently SOC 2, Cyber Essentials, GDPR, and NIS2), see indicative gaps, and access remediation guidance and document templates. The App runs on your device and does not require an account.

2. Not an audit, certification, or assurance

The App produces a self-assessment readiness indicator based on the answers you provide. It is not an audit, examination, certification, or assurance opinion, and it does not certify or guarantee compliance with any framework, law, or standard. A high readiness score does not mean you will pass a formal audit or obtain any certification.

3. Not legal or professional advice

The questions, explanations, guidance, and templates are general information only. They are not legal, regulatory, or professional advice and do not create a professional or client relationship. Laws and frameworks change and vary by jurisdiction. You are responsible for verifying current requirements with official sources and for obtaining advice from a qualified professional for your specific situation before relying on anything in the Service.

4. No warranty; provided "as is"

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that the content is current, error-free, or suitable for your circumstances.

5. In-app purchases

Certain features and remediation kits are unlocked through one-time, non-consumable in-app purchases. Purchases are processed and billed by the Apple App Store or Google Play under their terms. Prices are shown in the App. The "restore purchases" feature recovers unlocks tied to your store account. Refunds are handled by the App Store or Google Play under their respective policies — we do not process payments or refunds directly.

6. Remediation documents and templates

On purchase, you receive a limited, non-exclusive, non-transferable licence to use the provided documents and templates for your own organisation's internal compliance purposes. The templates are starting points that you must review and adapt to your circumstances. You may not resell, redistribute, sublicense, or publicly share the templates or content.

7. Intellectual property and restrictions

All content, questions, scoring, guidance, templates, designs, and software in the Service are owned by NodeCypher Inc. or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, you may not:

You agree to use the Service lawfully and only for legitimate business purposes, and not to misuse it, disrupt it, or attempt to gain unauthorised access to it or its systems.

9. Third-party services

The Service relies on third parties including Apple, Google, RevenueCat, Cal.com, and our hosting provider. Your use of those services is subject to their own terms and policies, and we are not responsible for them.

10. Consulting and other services

Any human advisory, audit, or implementation services we offer (for example, booked sessions) are separate engagements governed by their own scope and terms, and are not part of the App's in-app purchases.

11. Limitation of liability

To the maximum extent permitted by law, NodeCypher will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising from your use of or reliance on the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid for the Service in the twelve (12) months before the claim. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

12. Indemnity

You agree to indemnify and hold NodeCypher harmless from claims, losses, and expenses arising out of your misuse of the Service or your breach of these Terms.

13. Availability, changes, and termination

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms; the updated version applies once posted with a new "Last updated" date. We may suspend or terminate your access for breach of these Terms.

14. Governing law

These Terms are governed by the laws of Ontario, Canada, and the courts of Ontario, Canada will have exclusive jurisdiction, without affecting any mandatory consumer-protection rights you have in your country of residence.
